This Terms of Service agreement ("Agreement") is between JK Creative LLC, a Washington State limited liability company ("Company," "we," "us"), and the individual or entity purchasing or using the Masthead sports content widget platform ("Customer," "you"). By purchasing, installing, or using Masthead, you agree to be bound by this Agreement.
Masthead is a CDN-delivered, embeddable sports content widget that displays live scores, local news, and podcast feeds for commercial venues. The widget is hosted on Company infrastructure and delivered to Customer websites and displays via an embed script.
Masthead is available to businesses operating in the United States. You must be at least 18 years old and have authority to bind the entity on whose behalf you are purchasing.
Upon purchase, you receive a license key tied to your subscription tier. License keys are non-transferable. Each key is authorized for use by one business entity at its registered locations. See the Software License Agreement for full license terms.
All payments are processed through Square. The upfront payment covers the software product and first month of service. Recurring subscription billing begins on the second month and continues for 11 months. Prices are in US dollars.
If a subscription payment fails, we will attempt to collect per Square's retry schedule. If payment remains uncollected after 14 days, your license key may be suspended until the balance is resolved.
We may adjust subscription pricing with 30 days written notice before your next billing cycle. You may cancel before the new rate takes effect.
Refunds and cancellations are governed by our separate Refund & Cancellation Policy. Summary:
We target 99.5% uptime for widget delivery and API services. This is a goal, not a guarantee. We are not liable for downtime caused by third-party data providers, internet service disruptions, or force majeure events.
Live scores are sourced from TheSportsDB under their attribution requirements. News and podcast content is aggregated from publicly available feeds. We do not guarantee the accuracy, completeness, or timeliness of third-party data.
You retain ownership of your business name, logo, tagline, promo banner text, and branding configuration. By uploading content to the dashboard, you grant us a limited license to display that content within the Masthead widget on your behalf.
The Masthead software, widget code, layouts, dashboard, and all associated intellectual property remain the property of JK Creative LLC.
Masthead is delivered via CDN. Updates are pushed automatically. We may modify features, fix bugs, or change functionality at any time with notice for material changes.
Your use of Masthead is subject to our Acceptable Use Policy. Violations may result in immediate license revocation without refund.
MASTHEAD IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, JK CREATIVE LLC'S TOTAL LIABILITY SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM. IN NO EVENT SHALL JK CREATIVE LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
All obligations under this Agreement are solely obligations of JK Creative LLC as a legal entity. No claim may be brought against any individual owner, member, officer, or agent in their personal capacity.
You agree to indemnify and hold harmless JK Creative LLC from any claims, damages, or expenses arising from your use of Masthead, your violation of this Agreement, or your violation of any third-party rights.
Disputes shall be resolved through binding arbitration administered by the AAA under its Commercial Arbitration Rules in King County, Washington.
YOU AGREE TO RESOLVE DISPUTES ONLY ON AN INDIVIDUAL BASIS AND WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION.
You may opt out of arbitration by sending written notice to masthead@jkcreative.store within 30 days of your first purchase.
This Agreement is governed by the laws of the State of Washington.
We may update this Agreement at any time. Material changes will be communicated via email at least 14 days before taking effect.
If any provision is found unenforceable, the remaining provisions continue in full force.
This Agreement, together with the Privacy Policy, Refund & Cancellation Policy, Software License Agreement, and Acceptable Use Policy, constitutes the entire agreement between you and JK Creative LLC regarding Masthead.
